Limited Company in Taiwan

A limited corporation is owned by its members, who each possess a percentage of the company based on their capital contributions. A foreign investor must file an FIA with the Investment Commission and then form a limited company in Taiwan if it is approved. In comparison to a business limited by shares, a limited company has fewer corporate formalities. A limited business, for example, does not hold shareholder meetings.

Limited Company registration conditions

At the time of incorporation, a minimum of one director must be appointed, and full details of these must be provided with the business registration body. The director might be from any country and live anywhere. The shareholder could also serve as a director, but directors are not required to be shareholders.

Compulsory regulation

A minimum of one shareholder is necessary, whose information is recorded in the business registration authority’s public registry. The appointment of a Company Secretary is not required by Taiwanese law. The appointment of a supervisor is not required by the Company Law for a limited company. Only companies with limited liability must appoint at least one supervisor. In Taiwan, a corporation must have a registered/business address. An actual address, not a PO Box, must be used as the registered address.
